By purchasing, accessing, downloading, viewing, or otherwise using the Kit or any part of the Kit Content, you (“You” or “Your”) agree to be bound by these Terms

To preserve the uniqueness of each brand identity, this Kit may have a maximum sales number as indicated on the sales page.

License and Restrictions on Use: The Kit and its content in all forms, including but not limited to images, text, documents, templates, links, and videos (collectively “Kit Content”) is the intellectual property of Company. Except as expressly permitted herein, all other rights are reserved.
This Kit includes access to the Kit Content only. It does not include: personalized advice, custom services, private coaching, done-for-you implementation, 1:1 support, future updates, premium licensing, third-party licenses, or access to other products or services, unless explicitly stated in the Kit description or sales page.
Company grants You a non-exclusive, limited, revocable, worldwide, non-transferable, non-sublicensable license to use the Kit Content for the Permitted Use only. The company retains all rights in the original content and design elements. You may not reproduce, redistribute, copy, share, sub-license, or otherwise use any access to the videos or Kit content, except for the following permitted uses:

Uses: This license permits use of the Kit elements, in whole or in part, for one personal or business brand owned by You ("Single Entity”). Use across multiple entities or resale is strictly prohibited.
You may use the Kit and its elements for marketing, branding, and content creation for the Single Entity only. No sublicensing or resale is permitted other than to subcontractors or team members acting on behalf of the Single Entity.
For clarity, the following are prohibited; this list is not exhaustive.
Resale, redistribution, or sharing of the Kit or it’s components itself
Use of Kit across multiple businesses or brands.
Repackaging or modifying Kit for resale.
Uploading Kit or its contents to public marketplaces.

This license is granted solely for the purpose of marketing, branding, and promotional use for your Single Entity. No part of the Kit may be used to create derivative works for resale or for use by other individuals or businesses.

Third Party License: Certain fonts, Kit elements, and assets may require a third-party license and/or purchase for Your commercial use. Instructions and links are provided for convenience; it is Your responsibility to ensure proper licensing with third-party platforms. Placeholder fonts and design assets are included for layout purposes only. Access to premium versions requires separate licensing via third-party providers.
Company shall not be responsible for any payment or acquisition of any licenses for Your use and You agree to indemnify, defend, and hold harmless the Company, its owners, affiliates, and staff from any and all claims, damages, liabilities, or expenses (including attorney’s fees) arising from Your failure to obtain appropriate third-party licenses or Your misuse of any licensed asset in connection with the Kit.

Affiliate Disclosure: Links to additional resources and third-party sites may be included in Kit Content. Some links may be affiliate links. We may receive a commission at no cost to you. Company is not responsible for any third-party site or offering You may choose to purchase or engage with.
No Third-Party Benefit. You may not grant access to the Kit or Kit Content to any third party except as stated within Permitted Uses, You may not share Your login, passwords, downloads, videos, or other credentials to any third party; You may not use the Kit Content, in whole or in part, to create content for any third parties or for any commercial purpose other than as explicitly permitted herein. You may not utilize any portion of the Kit to create any content accessible by a third party whether for commercial benefit or not.
You shall not attempt to hack the system, distribute or utilize Kit Content illegally, to engage in abusive/offensive behavior, or to support, aid, abet, commit or attempt to commit any crime, violate any law, or create offensive content. 
Termination of Access Rights: In the event Company has reason to believe You have, or have attempted to, violate the Terms, Company may immediately terminate Your access with or without warning. In the event your access is terminated under this section You shall not be entitled to a refund.
Kit Participation. Comments and questions posted by You in the online systems may be shared or accessed by other licensors of the Kit. Your participation (including text, image, or submitted content) may be included in those deliverables and accessible to other Kit members. By commenting, posting or aprticipating, You consent to being recorded. If You do not wish to appear, You may choose to refrain from participating in the shared resources.
By submitting content, feedback, comments, or suggestions in any group, portal, or comment feature, you grant Company a royalty-free, irrevocable license to use such content to enhance Kit materials or marketing, with or without attribution.

Community Standards. You agree to engage respectfully, professionally, and in alignment with the values of the Kit. Company reserves the right to remove You from any Kit component without refund if You engage in behavior that is harmful, disruptive, inappropriate, or disrespectful to other participants or facilitators.
Confidentiality. You understand that anything shared by other participants in the Kit is considered private and confidential. You agree not to copy, distribute, disclose, or reference any personal information, business ideas, strategies, or shared materials of other participants without their explicit permission.
No Solicitation. The Kit is not a space for pitching, selling, or recruiting other participants into your offerings, services, or programs. You agree not to directly solicit other members for business purposes within the Kit space unless explicitly invited to do so by Company.
Access Duration. Your purchase includes access to the Kit Content for a minimum of twelve (12) months from the date of purchase. Company may, in its sole discretion, continue to provide access beyond that time period as a courtesy (“Extended Access”).
Extended Access is not guaranteed and may be modified, altered, or discontinued at any time, provided that Company gives You at least sixty (60) days’ notice via the email address associated with Your purchase.
Access is considered granted for the “lifetime” of the Kit or its delivery platform, “Lifetime” means for as long as the Kit is offered and supported by Company, or for as long as the current delivery platform is operational, whichever ends sooner.
Access to any group community or live component is granted for the duration stated in the Kit description. Company reserves the right to close or discontinue any group space at any time with reasonable notice, or if necessary due to violations of the above standards.
Indemnification: You agree to indemnify and hold harmless Company from any and all claims, losses, damages, and expenses (including attorneys' fees) arising from or related to i) Your use of or access to the Kit or Kit Content; ii) Your violation of any applicable law; and iii) Your breach of these Terms.
Disclaimer and Warranties: THE KIT AND ALL KIT CONTENT, INFORMATION, PRODUCTS, AND SERVICES (COLLECTIVELY, THE "MATERIALS") ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Company HEREBY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTY OF NON-INFRINGEMENT, WARRANTY OF ACCURACY OR COMPLETENESS.
While efforts are made to ensure the information is accurate, Company does not guarantee that the Materials are error-free, wholly complete, or always up-to-date. You are responsible for your actions, inactions and decisions. Company cannot be held responsible for them.
The Kit may involve integration with third-party services or platforms, and Company provides no warranty related to the functionality or ongoing availability of those services.
YOU ACKNOWLEDGE THAT YOUR USE OF THE MATERIALS IS AT YOUR SOLE RISK. COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE MATERIALS.
No Guarantee of Success: While the Kit provides information and tools, You are responsible for Your success, decisions, and actions regarding the Kit Content. Company makes no guarantee or promise of success.
All Kit content, including but not limited to videos, articles, blog posts, downloads and online comment sessions, is provided for informational and educational purposes only. We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information contained in this content. No guarantees or representations are made regarding specific outcomes or results from using the information or services provided.
Limitation of Liability: Neither You nor Company shall be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the Kit, even if such party has been advised of the possibility of such damages.
Maximum Liability: Company's maximum aggregate liability to You under or in connection with these Terms, regardless of the cause of action, shall not exceed the total amount paid by You for the Kit.
Refund Policy: All sales are final. Due to the digital nature of this offering and immediate access to proprietary materials, no refunds will be provided under any circumstances. By purchasing, you acknowledge and agree to this no-refund policy.
You agree not to initiate a chargeback or payment dispute with your bank. Any refund requests shall follow the process outlined in these Terms.

User Representations: You represent and warrant You have the right and authority to enter into this agreement on behalf of yourself or the company You are a legal signatory for and that You are at least eighteen (18) years of age.
If You submit a testimonial, you grant Company permission to use it publicly, including marketing.

Compliance with Laws: Your use of the Kit and Kit Content shall comply with all applicable laws including, intellectual property and privacy laws. Company shall comply with the privacy terms located at [INSERT LINK TO YOUR PRIVACY POLICY]. When using or accessing Company website www.thenomadinfluence.com You will comply with the website terms of use located at [INSERT LINK TO YOUR ONLINE T&Cs].
Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Boston, Massachusetts, and you hereby consent to the personal jurisdiction and venue of such courts.
Modifications and Terminations: Company reserves the right to modify or discontinue the Kit and any Kit Content, at any time and for any reason, with or without notice. This right includes but is not limited to:
 A good faith belief of intellectual property infringement.
 A good faith determination that the Kit Content is no longer commercially viable.
 A potential or actual violation of any law.

In the event of any of these circumstances, Company may modify the Kit content, or terminate Your access to the Kit, to the extent the Kit no longer meets commercial viability standards.
In the event Company terminates Your access to the Kit under this section within 12 months of Your purchase date and is unable to provide a substitute or replacement, Company shall refund You a prorated amount based on a 12-month access term.
Non-Assignment: You may not assign or transfer Your rights or obligations under these Terms without the express written consent of Company.
Updates to Terms: Company reserves the right to modify these Terms as needed. Updates shall be emailed to the address listed on your access credentials.
Entire Agreement: These Terms constitute the entire agreement between You and Company regarding your access to and use of the Kit and Kit Content and supersede all prior or contemporaneous communications and proposals whether oral or written.
Waiver: No waiver by Company of any breach of these Terms will constitute a waiver of any other breach.
Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
